At Welltory, we believe in win-win relationships and aim for long-term partnerships. Each campaign will have 1-3 posts on pre-approved social media handles. We value your ideas and suggestions and look forward to your contributions to our mission.
1. Ambassador Program Rules
By making your first social media post about Welltory, you automatically become a part of the Welltory Ambassador Team. The program runs until December 31, 2024. Ambassadors will receive their perks and benefits shortly after joining the program. Under certain circumstances, Welltory may terminate the relationship with an ambassador before this date.

3. Content
You will create all the content for your social media, including photography, video clips, written text, dialogue, or any other creative expression. You agree that all content created is original or used with full permission of the rights owner, ensuring no violation of intellectual property, publicity, or privacy rights. You agree that Welltory content remains ours, and we agree that your content remains yours.
4. Use of Your Content
Welltory has the limited, irrevocable right to use and display your name, image, and content created under the Ambassador Program on our social media accounts, webpages, and other marketing materials or for our business records, provided attribution is given to you. In connection with your posts, you must:
Upload only your photos with the full consent of additional people in the picture.
Never obtain “fake” likes and interactions from purchased providers.
Follow the law, avoiding content related to sexual themes, child abuse, drugs, weapons, violence, politics, or religion.
Maintain a sober tone and show respect for Welltory's brand.
Avoid spreading “misleading information”.
5. Use of Welltory Materials
Welltory grants you a limited, sublicensable, nonexclusive, revocable, worldwide license to use, reproduce, modify, create derivative works of, distribute, and digitally display Welltory’s name and logo to the extent necessary under the Ambassador Program in a manner approved by Welltory. You will adhere to any usage guidelines provided by Welltory. If we determine any use by you violates our guidelines or casts us in an unfavorable light, you will cease such use immediately upon our request.
6. Goodwill
You recognize your reputation and goodwill are essential to our brand. If you become involved in or associated with any crime, scandal, or situation negatively impacting Welltory, you agree to promptly remove any related posts or content from your sites or accounts upon our request.
7. Compliance with Laws
You and Welltory agree to comply with all applicable laws, rules, and regulations. Your content and postings under the Ambassador Program will fully comply with platform rules (like Instagram), U.S. laws and regulations, and FTC Guidelines concerning endorsements and testimonials in advertising. Disclosures will be clear, prominent, and near the content, and you are responsible for staying updated with and abiding by all applicable rules, regulations, and guidelines.
8. Duration and Termination
These terms are effective upon joining the Ambassador Program and continue until you no longer perform under it, or Welltory notifies you of your removal from the Program.
9. Confidentiality
Both parties agree to keep these terms, contents, and related communications strictly confidential. Unauthorized disclosure by one party will entitle the other to injunctive relief against the breach, in addition to any other legal remedies.
10. Liability
You are solely responsible for any violation of platform rules and applicable law. Welltory is not liable for such violations, and any resulting fines, compensation, or similar costs will be your responsibility.
11. Governing Law
These Ambassador Terms are exclusively governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflicts of laws provisions.
12. Arbitration and Venue
Any disputes arising out of or related to these Terms shall be resolved by binding arbitration in accordance with the commercial arbitration rules of the American Arbitration Association. The arbitration shall be conducted in California, and judgment on the arbitration award may be entered into any court having jurisdiction thereof.
13. Independent Contractor
You are an independent contractor, not an employee, partner, joint venture, or agent of Welltory. You are solely responsible for all taxes and withholdings related to any compensation from Welltory.
